Group Commons Terms of Service
Welcome to Group Commons
Group Commons, LLC ("GC") offers individuals "You" and Your Organization(s) ("Organization") access
to collaboration software and services, including online web interface, access, storage, group
communication and analytic tools ("Tools").
Registration
By registering for, or by using Software found online at http://groupcommons.com or
http://groupcommons.org or http://groupcommons.net or http://groupcommons.com, you agree to the
following Terms and Conditions
("Terms").
Registration as an individual ("User") or on behalf of any organization binds you and all persons
registered in your Organization to Terms. Terms take effect when you click on the "Agree" button,
indicating that you have read and subscribe to Terms.
Terms and Conditions
- Group Commons Services
GC Services consist of Tools for collaboration, within Organizations and across Organizations.
You have access to software designed to facilitate project management, email, trouble tickets,
contact management, resource tracking, life-cycle development, trading services, conference
planning, shared calendars, file storage, and many other interactive Tools. You agree to Terms for
use of these Tools within your own Organization and you agree to Terms for use with all other
Organizations in which you are invited to participate.
Users are encouraged to submit requests for improvement and extension of Tools. Requests are
reviewed by GC administrative staff, and at its sole discretion, are implemented on a timely basis.
Implementation of enhancements requested by You and Your Organization are automatically and fully
made available to all other registered GC members.
GC makes no guarantees as to the continuous availability of the Service or of any specific
feature(s) of the Service. GC will periodically inform You of significant changes to the Service or
to Terms.
- Use of Tools
GC grants to You, subject to Terms, a license to use the Tools. You acknowledge that GC retains
exclusive ownership world-wide of all GC Tools. Upon termination of this Service Agreement for any
reason, this License will terminate, and You will cease to use or have access to the GC Tools.
- Restrictions and Policies
- General Use. You will not use the Service in any way for spamming, chain
letters, junk mail or
distribution lists to contact any person who has not given specific permission to be included in
such. You will only use the Service for lawful purposes. You agree to defend, indemnify and hold GC
harmless against any claim or action that arises from Your use of the Service in an unlawful manner
or in any manner inconsistent with the restrictions and policies stated herein.
- Privacy Policy and Confidentiality. GC respects the privacy of its users. User
information such
as name, address, credit card numbers are used solely to collect payment for services. GC does not
share, rent, sell, or trade data contained in Your account. GC may use Your information to contact
You regarding satisfaction with GC services, solicit your ideas for improvement of services, and
notify you of additional services.
- Account Information and Data
User data is considered confidential. You alone have the sole responsibility for the accuracy,
quality, integrity, legality, reliability, appropriateness of Your data. In addition to regular
internal maintenance of Your data, provision is made for Organization admins to download and archive
backups data. Upon termination for cause, GC shall have no obligation to maintain or forward Your data.
- Provision of Contact and Billing Information and Payment of Fees
- General Use. If the terms of Your GC Online account require You to pay for the
Service, You
agree to provide and maintain accurate billing information. GC reserves the right to terminate Your
account for nonpayment. GC may change its Fees with 30 days notice.
- Billing and Renewal. GC charges and collects in advance for use of the Service. You are
responsible for payment of taxes and duties levied by taxing authorities. Accounts more than 30
days in arrears will be consider delinquent, and subject to suspension. Accounts suspended for more
than 30 days will be terminated without obligation on the part of GC to maintain Your data. It is
Your responsibility to contact GC in writing to comply with these terms.
- Passwords and Security
You are entirely responsible for managing your passwords and access codes. Unauthorized use of your
access or other security breaches must be reported immediately.
- Termination for Cause
Any breach of your payment obligations or unauthorized use of the Service will be deemed a material
breach of this Agreement. GC, at its sole discretion, may terminate your password, account or use of
the Service if you breach or otherwise fail to comply with this Agreement.
- Warranty and Disclaimer
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, AND GC DISCLAIMS ALL WARRANTIES,
EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. SOME STATES DO NOT ALLOW LIMITATIONS ON
IMPLIED WARRANTIES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. GC DOES NOT REPRESENT OR WARRANT
THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THIS
SITE OR THE SERVER THAT MAKES IT AVAILABLE, ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY
MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR RISK AND
YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR NETWORK, OR LOSS OF DATA
THAT RESULTS FROM USE OF THE SERVICE.
- Limitation of Liability
GC'S TOTAL LIABILITY WITH RESPECT TO THE SUBJECT MATTER OF THIS SERVICE AGREEMENT WILL BE LIMITED TO
THE FEES PAID BY YOU TO GC FOR THE SERVICE UNDER THIS SERVICE AGREEMENT IN THE 12 MONTHS PRIOR TO
THE ACT OF INJURY THAT GAVE RISE TO THE LIABILITY. NEITHER GC NOR ITS LICENSORS SHALL BE LIABLE IN
ANY EVENT FOR LOSS OR INACCURACY OF DATA, LOSS OF PROFITS OR REVENUE, OR INDIRECT, SPECIAL,
INCIDENTAL OR CONSEQUENTIAL DAMAGES, WHETHER OR NOT FORESEEABLE AND EVEN IF GC HAS BEEN ADVISED OF
THE POSSIBILITY OF SUCH DAMAGES.
- Miscellaneous
THIS AGREEMENT WILL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF
COLORADO WITHOUT REGARD TO THE CONFLICT OF LAWS PROVISIONS THEREOF. YOU AND GC AGREE TO SUBMIT TO
THE EXCLUSIVE JURISDICTION OF THE COURTS LOCATED IN THE COUNTY OF BOULDER IN THE STATE OF COLORDO.
